Federal Reserve Board announces approval of application by Isabella Bank Corporation
For release at 4:30 p.m. EDT
The Federal Reserve Board announced its formal approval on Monday afternoon for a significant structural expansion within Michigan’s banking sector, clearing the path for Isabella Bank Corporation to complete a strategic acquisition. Under the terms of the regulatory clearance granted in Washington, D.C., Isabella Bank Corporation, headquartered in Mount Pleasant, Michigan, has received authorization to acquire Grand River Commerce, Inc., based in Grandville, Michigan.
As a direct result of this holding company transaction, Isabella Bank Corporation will also indirectly acquire Grand River Commerce’s subsidiary banking institution, Grand River Bank, which operates out of Grandville. The approval marks a major milestone for both regional financial institutions as they prepare to integrate their operations, governance, and market footprints across the state of Michigan.
In addition to the primary holding company acquisition, the Federal Reserve Board granted separate regulatory approval for a concurrent bank-level consolidation. Specifically, Isabella Bank—the primary banking subsidiary of Isabella Bank Corporation, also rooted in Mount Pleasant—has been cleared to merge directly with Grand River Bank.
Following the completion of this statutory merger, the combined institution will maintain and operate the existing physical branch locations formerly operated by Grand River Bank. This provision ensures that retail and commercial customers currently utilizing Grand River Bank branches will experience continuity of access to banking services, physical facilities, and local personnel as the integration moves forward.
Regulatory reviews of this nature involve comprehensive evaluations by the Federal Reserve Board regarding the competitive effects of the proposed transaction, the financial and managerial resources of the institutions involved, and the convenience and needs of the communities to be served. By giving the green light to both the holding company acquisition and the subsequent bank merger, the federal regulatory body has determined that the transaction meets the statutory criteria established under federal banking laws.
